By entering into a working relationship with Sprout Design Studio,
you are bound to our Terms and Conditions, so please read them carefully. 

Working together:

Initial meetings/proposals are complimentary. Thereafter all time spent on your project is billed at an hourly rate. In-person and phone meetings are by appointment only, between 9am and 3pm, Monday through Friday and are also billed at the standard rate. A 50% deposit is required to begin each job. Deposits are non-refundable. Clients will be billed monthly throughout the remainder of the job. Final Payment is due upon completion of job, before files can be released to printers, clients or websites. Sprout Design Studio reserves the right to discontinue any job at any time for any reason. If a job is cancelled by either party involved, the client will be responsible for time and expenses up to that point. Scheduled meetings that are cancelled with less than 24 hours will be charged 1 hour. 



All work performed by Sprout Design Studio is custom work. Fee estimates for design services are based upon the time estimated to complete the project specified during normal working hours. Any revisions or additions to the project beyond the estimate are billed as additional services at our quoted hourly rate. Overtime fees are charged at 200%. (“Normal” working hours are 9am-4pm, Monday through Friday.) It is important to understand that estimates are NOT quotations or bids. Services are billed by the hour. We make every effort to stay within an established budget, although we rarely know exactly how long a project will take. Unless otherwise indicated in writing, our estimates DO NOT include revisions. It is our deepest desire to design pieces that work well for you and make Sprout Design Studio look good! Please share any specific concerns you have about timelines, “must-haves” and budget, in advance of beginning the project.



Clients purchase chosen designs only. All other designs created in the design process have separate use fees and are not included in the original estimate. Use fees may be specified between client and Sprout Design Studio. Furthermore, Sprout Design Studio reserves the right to use all design work created for its promotional uses. Sprout Design Studio archives all client jobs as a courtesy and is happy to provide you with past jobs at any time for a retrieval fee billed at the standard rate. It should be noted that Sprout Design Studio cannot be held accountable should past data be lost or damaged.


copyrights + trademarks:

Sprout Design Studio reserves the right to use all design work created for its promotional uses. By supplying text, images and other data to Sprout Design Studio for inclusion in the customer’s business cards, flyers, pamphlets, website or other medium, the customer declares that it holds the appropriate copyright and/or trademark permissions. The ownership of such materials will remain with the customer, or rightful copyright or trademark owner. Should Sprout Design Studio or the client supply an image, text, audio clip or any other file for use in a business cards, flyers, pamphlets, website, multimedia presentation, print item, exhibition, advertisement or any other medium believing it to be copyright and royalty free, which subsequently emerges to have such copyright or royalty usage limitations, the customer will agree to allow Sprout Design Studio to remove and/or replace the file on the site. The client agrees to fully indemnify and hold Sprout Design Studio free from harm in any and all claims resulting from the customer in not having obtained all the required copyright, and/or any other necessary permissions.


Approval of Final Artwork:

While Sprout Design Studio takes care to avoid errors, we accept no responsibility for typographical errors, spelling mistakes, or incorrect information on any project committed to print or production. It is the client's responsibility to proofread and approve all final copy before the production of artwork. The email verification of the Client or Client's Representative shall be conclusive as to the approval of all artwork prior to their release for printing, implementation or installation. No refunds or reprints are given after a final approved design has gone to print due oversights by "The Client's" proof reading. 

It is agreed that the Sprout Design Studio is not responsible or held liable for any errors contained in the final product after the final product has been approved by the client, (approval may be given either verbally or in writing), committed to print or posted in view of the public. Sprout will not be help responsible for any changes or amendments made after approval. It is the sole responsibility of the client to notify Sprout Design Studio of any such errors during the revision cycle and before the final files have been generated. 

As with all print projects, payment for re-printed project MUST be prepaid.


PRINTING AND Color Variation:

The standardization of color in the printing industry is extremely complicated. This is because there are too many variables involved - the kind of paper used, the paper coating used, the kind of printer used, the job the printer printed prior to printing your job, the temperature of the printer when it printed your job, etc. Only the most expensive printing companies guarantee color matching. Going with a less expensive online printing company is always a risk since they do not make the same promise. With all printing there may be some color variation from what you have seen on screen to what the final product looks like, and previous orders. This is due to the nature of CMYK printing and bulk-run printing system. Even though we may recommend one printer over another, Sprout Design Studio cannot assume responsibility for the quality of products that company produces. There will be no reprints at the expense of Sprout Design Studio. 



Unlike the process of creating and launching a website which usually has a definitive endpoint, Search Engine Optimization (SEO) is an ongoing process that requires evolving strategies to maintain rankings over time. Organic search results are controlled by the ever-changing and incredibly complex algorithms of each Search Engine (like Google). This means that Sprout Design Studio has absolutely no control over how these formulas function. Sprout does not guarantee any specific search engine rankings, listings on search engines or directories listings. The process of ranking can take anywhere from a few months to a year before showing any significant results. Furthermore, search engines like Google may hinder the rankings of new websites until they have proved their ability to exist for a given amount of time. Whereas Sprout Design Studio can help your entity implement a variety SEO strategies as well as advise you on how to improve your Search Engine rankings, we are not a SEO Agency. If SEO is critically important to you, we recommend finding a company that specializes in this work. To that end, SEO is a constantly changing industry and it is impossible for any business or organization to guarantee high rankings for a website or webpage. Be wary of SEO services or companies that promise or guarantee specific rankings in search engines. 



Sprout may discontinue services or take down a website if an amount payable to Sprout Design Studio is overdue. In any such event, the client remains liable for the total cost of the contract including all disbursements; unless otherwise agreed between the parties. If the invoice remains unpaid, copyright on all work remains with Sprout Design Studio. Accounts not paid within 15 days of the date of the invoice are subject to a 1.5% monthly finance charge (18% per annum). It should also be noted that active work may be temporarily suspended on past due accounts. Furthermore, all clients with a history of delinquent payments will be required to submit payment in advance for all future services. 



Sprout Design Studio makes no warranties of any kind, express or implied, for any and all products and/or services that it supplies. Sprout Design Studio will not be held responsible for any and all damages resulting from products and/or services it supplies. Sprout Design Studio is not responsible for any loss, or consequential loss of data, or non-delivery of products or services, of whatever cause. While we take reasonable steps to investigate the materials we recommend, we accept no responsibility for the performance or quality of materials or any consequential loss arising from their failure. The customer agrees not to hold Sprout Design Studio responsible for any such loss or damage. Any claim against Sprout Design Studio shall be limited to the relevant fee(s) paid by the customer.


Acceptance of Quotation and Terms and Conditions:

The placement of an order for design and/or any other services offered by Sprout Design Studio and validated by the customer’s written or verbal approval of the estimate, constitutes acceptance of the estimate and agreement to comply fully with all the Terms and Conditions and forms a Contract for Business between the client and Sprout Design Studio.
